Introduction

Welcome to Pitchmatter (referred to as "Pitchmatter", "We", "Our", "Us"). These Terms of Use ("Agreement") govern your access to and use of the Pitchmatter website, services, products, and platform (collectively referred to as the "Platform"). By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Platform. These Terms are subject to change, and you are responsible for reviewing them periodically.

Platform Disclaimer

Pitchmatter provides a platform for startup fundraising, mentorship, networking, and investor matchmaking, but does not provide investment advice, legal advice, financial advisory services, or any recommendation regarding specific investments, securities, or projects. The Platform is a tool for users to interact, connect, and engage with one another, but Pitchmatter is not involved in any investment decisions or transactions between users.

Eligibility and Access

To use the Platform, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher. By using the Platform, you represent and warrant that you meet the eligibility requirements. You agree to comply with all applicable laws, including data protection and privacy laws.

Use of the Platform

Pitchmatter offers several services, including Pitchmate, Fund Boost, StartupXPO, CAPShield, and AngelSEED. These services are designed to connect startups, investors, mentors, and other ecosystem participants, and to provide a range of tools for fundraising, networking, and mentorship. However, Pitchmatter does not participate in or influence the investment decisions made by users of the platform.

Investment Risk and Disclaimer

Pitchmatter does not engage in the provision of investment advice. Any investments made by users are made at their own discretion and risk. Users are strongly encouraged to seek professional financial advice before making any investment decisions.

The Platform facilitates connections but does not guarantee the success or failure of any investment. Pitchmatter does not make any representations or warranties about the potential returns of any investments, the solvency of companies, or the accuracy of information shared by users.

Services Provided by Pitchmatter

Pitchmatter provides a suite of services for connecting startups with investors, raising funds, and managing investments, including but not limited to the following:

  • Pitchmate: A matchmaking tool designed to help startups connect with investors, mentors, and vendors.
  • Fund Boost: A platform that simplifies fundraising for startups by allowing them to raise capital from various investors without complicated negotiations.
  • StartupXPO: An annual event where selected startups pitch their business ideas to a panel of investors and mentors, helping startups gain exposure.
  • CAPShield: A decentralized risk mitigation protocol that aims to reduce the risks associated with investing in startups and real-world assets (RWAs).
  • AngelSEED: A community development program that allows individuals to contribute to the ecosystem without investing money and earn rewards.
Fees

Pitchmatter charges various fees for certain services, including listing fees, success fees, and subscription fees for premium features of Pitchmate. These fees will be disclosed before any transaction takes place. Pitchmatter reserves the right to modify or introduce new fees at any time with prior notice.

User Responsibilities

As a user, you are responsible for your actions while using the Platform. You agree to:

  • Provide accurate and complete information when creating an account.
  • Not use the Platform for any illegal, fraudulent, or unauthorized activities.
  • Comply with all applicable laws, regulations, and terms when using the Platform, particularly those governing investment activities in your jurisdiction.
Intellectual Property

The Platform and all associated content, including but not limited to logos, trademarks, and software, are the intellectual property of Pitchmatter or its licensors. You may not copy, reproduce, or distribute any content from the Platform without prior consent from Pitchmatter.

Data Privacy and Security

Pitchmatter is committed to protecting your privacy. We collect and process personal data in accordance with our Privacy Policy, which adheres to applicable laws such as the General Data Protection Regulation (GDPR) in the EU, the California Consumer Privacy Act (CCPA) in California, and similar laws in other jurisdictions (including India, China, Canada, Singapore, and the UK).

By using the Platform, you consent to the collection and processing of your personal data as described in our Privacy Policy. You acknowledge that while we take reasonable security measures, the transmission of data over the internet cannot be completely secure.

Prohibited Conduct

You agree not to use the Platform to:

  • Engage in any illegal activities or violate any applicable laws.
  • Misrepresent your identity or information provided on the Platform.
  • Interfere with or disrupt the functionality of the Platform.
Limitation of Liability

To the fullest extent permitted by law, Pitchmatter and its affiliates are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including, but not limited to, loss of profits, data, or other intangible assets.

Pitchmatter’s total liability to you for any claim shall be limited to the amount you have paid to Pitchmatter for the service that gave rise to the claim in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Pitchmatter, its affiliates, officers, employees, agents, and third-party service providers from any claims, damages, liabilities, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

Termination

Pitchmatter reserves the right to suspend or terminate your account and access to the Platform at any time, for any reason, including for violations of these Terms. Upon termination, you must cease all use of the Platform and its services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Pitchmatter operates. Any disputes arising out of these Terms shall be resolved through binding arbitration in the jurisdiction specified. If you are located in the EU, US, UK, Canada, or any other jurisdiction with applicable consumer protection laws, you may have additional rights and protections not expressly waived in these Terms.

Changes to Terms

Pitchmatter reserves the right to amend these Terms at any time. Changes to these Terms will be posted on the Platform, and the new version will take effect immediately upon posting. You are responsible for reviewing these Terms regularly.
